In the sequel movie, you see Zach and AERIS together (they were an item, after all). It was a glimpse of their spirits. Even towards the end of FF7 game, you can witness Aeris's ghost at the Midgar Slums church.

As for the Phoenix down thing? I've always figured that 0HP was closer to being knocked unconscious, or brink of death. Sephiroth put her down to -10, which meant she was straight up dead, and no phoenix down would help. (d20 reference.)

I feel this is an appropriate topic to use the following:
Aerith is most definitely dead in the physical sense. I don't think it would have made as huge of an impact if she wasn't.

Any post-death visitation is her soul, not her physical body. It's the Final Fantasy equivalent of Obi-Wan's "Force ghost" in Star Wars.
