Underrated, I'd have to go with Sucker Punch. I get the idea that if most of the critics reviewing it had actually understood what was going on, rather than considering it within the same vein as Inception or The Matrix they would have marked it higher. Yeah, some of the characters were lacking depth, but really, it wasn't nearly as terrible as people made it out to be, nowhere near.
Overrated, I'm going with Blade Runner and Citizen Kane.
Blade Runner because I've seen it at least four times and I still didn't give one crap about Deckard or Rachael. Both were so flat and utterly forgettable, and I think Roy would have made such a better protagonist, he seemed far more interesting a character.
Citizen Kane (and boy am I expecting flames for this one) but I just didn't think it was all that great, definitely not the best movie of all time. Again, I found the character utterly unlikeable, and I found no real compelling reason to keep watching. Two hours of my life I'm never getting back.

SPOILER ALERT

...and I get the significance of Rosebud and everything is meant to represent his childhood and the time of innocence before he moved, but seriously? A bit of WOOD is influential enough to be his last words?

Avatar ranks high on the overrated list. I would also add 2001: A Space Odyssey. Most of the sci-fi fanatics that swear by it don't even understand it. Fuck if I do... But that doesn't stop them from proclaiming from the rooftops that it is the pinnacle of sci-fi cinema and that all other movies pale in comparison. Furthermore, if you don't agree YOU must not understand.

Now, having said that, I will turn it on its head... I give you:

I watched it... and then promptly watched it all over again. It really is a fantastic movie (take that Kubrick!). I wouldn't say it's underrated as much as under-viewed.

True, one of my fav. sci-fi films, along with District 9

And for underrated:

Grave of the Fireflies
The Incredibles
Letters from Iwo Jima (one of the best war movies ever made, and yet it barely makes the list)

Over-rated: Gladiator (effectively a hash-up of some old classics: Spartacus meets Ben-Hur on a backdrop of The Fall of the Roman Empire, I'm thinking), plus they got a looooooooooot of details just plain wrong. I enjoyed it, to be fair, but spent the entire time nitpicking it and thinking of the three other films I just mentioned.
What was worse than getting the details (of clothing, architecture, politics oh God the politics) wrong is that they abandoned significant historical details that would have made the movie far better. Especially: the real historical Commodus was so much more entertainingly crazy than the milquetoast with daddy issues they saw fit to put opposite "Maximus."
Quite so, Christopher Plummer made such a better a-few-marbles-missing despotic madman. IIRC one of the historical consultants quit because the producers basically ignored the 'consult' while another refused to be credited with being a part of making such crap.

Anyway, thanks for reminding me of Iwo Jima no Tegami, Clint Eastwood is a brilliant director (doesn't get enough credit for it, I think). The Incredibles basically meant that the Fantastic Four would never do well ('twas rubbish anyway), and how can you not love Edna Mode?! And as much as I can't bring myself to watch Hotaru no Haka all the way through these days, yeah, deserved an AA.

Another overrated (on the theme of Gladiator): Saving Private Ryan... for some reason I could never bring myself round to calling it good.

Underrated: Indiana Jones and the Kingdom of the Crystal Skull (For obvious reasons).

Overrated: The Hangover.
I agree with the Indiana Jones sentiment. Everyone complains about it with "Aliens?!? That's so fake!" or something similar and I just wonder if they even watched the first three films.

Fit.

It's a Drama/Comedy movie, I don't know anyone who's seen it, but, it's free on Blinkbox. Seriously under-rated.

I'll give ya' a link, if you're interested. http://www.blinkbox.com/Free/Movie/35921/Fit
