I think it would be a draw(why is that not an option?). Spider-man's spidey-sense would allow him to evade Batman's offense, while Batman would be prepared for Spider-man's offense. They couldn't hit each other.

Batman would have something prepared. He'd have a deciy that would sitract Spideys spider sense. Like a grenade that looks like a gun, so that Spidey will take evasive action appropriate to a gun but not a grenade.
A. The strategy for both of them is to get very far away from them.
2. Batman doesn't kill.
C. This is the exact instance Spider-man's spidey-sense would come into play.

There is only one comic book character I would back against the bat and that is Dr. Amanda Waller, and she wouldn't beat him in a fist fight. As for Spider-Man, hell, Kraven the Hunter beat Spider-Man.

Does Anyone Know how Many Batman Suits He's had that are different from the classic? I know of the Terry McGinnis Beyond suit and the Azazel Suit, but other than that I'm drawing Blanks

I was thinking the same thing and pretty much it would all depend on which suit Spider-Man was wearing.

Original Spidey Suit - Batman or spidey (Batman would counteract spidey's basic moves, but spiderman could be faster and punch out batman)

Venom-Spidey Suit - Batman (find someway to use sonics)

"Bionic Commando Arm" Suit - Spider-man (increased healing factor)

"Octo-Spidey" Suit - Batman (Batman would use Spidey's arms against him)

"Six-Arm Spidey" - Spider-man (Unlike the octo-arms, spidey would have more control over them)

Hulk Spider-man - Spider-man (Spider-man as strong as the hulk... 'nuff said)

Spider Carnage - Batman (See Venom-Spidey)

Spider-Phoenix - Spider-man (Spider-man with the powers of phoenix...)

Cosmic Spider-man - Spider-man (Same as Spider-Phoenix)

Civil War Spider-man Suit - Batman (It's tech, batman could possibly hack into it)

I think that is every form of Spider-man suit that Peter Parker has worn, and remember, all these may be wrong, it depends on who writes the story :p
This makes me want to read spiderman comics o.o
Glad I could be of assistance :p

Good points, all of them. But what if Batman made a replica of himself filled with explosives so tht Spider-Man would think it's Batmans awesomeness and not Batman's secretly being da bomb (literally) that sets of the spider-sense? There was this What if story where the Punisher killed Spidey that way.

I'll admit that I haven't read that many comics involving either character. I don't know how specific his spidey-sense can get. I also am not as clever as Batman/the writers.

Here are the things I do know:
A. It depends on the writer(s) at the time. For example, Wolverine has survived having all of his skin and muscle torn off by the phoenix and having his adamantine skeleton ripped off/out of him. However, there is a book where he died after 100 percent of his body was burned by a sentinel. There really isn't a set list of things that a given hero can survive or not survive. Contradictions like this litter canon like crazy, and it doesn't really mean anything to think of off-the-wall scenarios or arguing semantics.
2. Batman doesn't kill, period.
